1.Introduction to Turtle.Club

Turtle.Club represents a paradigm shift in the decentralized finance (DeFi) ecosystem. Positioned as a decentralized phantom protocol, it aims to realign the incentives among key DeFi players, including Liquidity Providers (LPs), Developers, Venture Capitalists, Security Auditors, and Miners. The core mission of Turtle.Club is to offer a safeguarding layer in DeFi, ensuring that liquidity is deployed with transparency and due diligence. Unlike traditional DeFi models that often operate in a zero-sum framework, Turtle Club introduces a positive-sum game, promoting superior risk-adjusted returns for all stakeholders while simultaneously mitigating protocol and downside risks.

2. Eligibility

To participate in the Protocol, you must:

• Authenticate your ownership of the address you're using to participate within the Turtle.club by signing a message.

• Be of legal age in your jurisdiction.

• Have the legal capacity to enter into binding contracts.

• Comply with any additional eligibility criteria specified by the Turtle.club.

• Turtle.Club is not a protocol, does not have any smart contracts, and is never in custody or control of Turtle.club members' liquidity or funds.

• Web3 is complicated, and despite being a platform for sharing collective due diligence with Turtle.club members to help them make more informed decisions, the Turtle.club does not guarantee the accuracy or correctness of any due diligence provided by the community. Turtle.club members should always do their own due diligence and never rely solely on other Turtle.club members' due diligence.

• When members deploy liquidity in Turtle.Club partner protocols, the Turtle.Club is in no shape or form an intermediary or responsible for any interactions between Turtle Club members and the protocols they choose to use or deploy liquidity into.

• Turtle.Club members need to comply with all the laws in the country of their residence and tax residence, as well as the terms and conditions set out by all the Turtle.Club protocol partners they engage with.

• The Turtle.Club does not condone any Turtle.Club members breaking any laws, defaming or slandering any Turtle.Club protocol partners, Turtle.Club team members or contributors, or any other Turtle.Club members, or engaging in money laundering.

3. Risks

Participation in DeFi liquidity provision carries inherent risks, including but not limited to impermanent loss, smart contract vulnerabilities, and market volatility. You acknowledge and accept these risks and agree that the Turtle.club is not liable for any losses incurred as a result of participating in the Protocol.

4. Participation

The Turtle.club reserves the right to reject any participant's application to join the Protocol without providing any reason.

5. Rewards

Rewards for participating in the Protocol may include transaction fees, yield farming rewards, or other incentives as determined by the Turtle.club in accordance with the Turtlenomics model outlined in the Turtle.Club Litepaper. The TurtleDAO reserves the right to modify or terminate reward incentives and structures with a governance vote.

6. Amendments

The Turtle.club reserves the right to amend these Terms at any time in accordance with the legal framework and governance structure outlined by the TurtleDAO. Any amendments will be communicated to Turtle.club members through the Turtle.club's official communication channels. Continued participation in the Protocol after the effective date of amendments constitutes acceptance of the revised Terms.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Jurisdiction of the Turtle Foundation, which is yet to be incorporated. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the jurisdiction of the Turtle Foundation.
